1. Acceptance of Terms
By accessing or using BidScanner (“the Service”), operated by BidScanner Inc. (“we”, “us”, or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and BidScanner Inc.
2. Description of Service
BidScanner is an AI-powered procurement intelligence platform that aggregates publicly available Canadian government tender notices from sources including CanadaBuys, BC Bid, SaskTenders, and other public procurement portals. The Service applies machine learning and natural language processing to score and rank tender opportunities against a company's profile and preferences.
BidScanner is provided in beta. Features, availability, and pricing are subject to change without notice during the beta period.
3. Eligibility
You must be at least 18 years of age and have the legal authority to bind the organization you represent. The Service is intended for Canadian businesses engaged in, or seeking to engage in, government procurement. By using the Service, you represent and warrant that you meet these requirements.
4. Account Registration
Access to the Service requires creating an account. You agree to: (a) provide accurate, current, and complete information; (b) maintain the security of your login credentials; (c) promptly update your account information if it changes; and (d) accept responsibility for all activities that occur under your account.
We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.
5. Acceptable Use
You agree not to:
- Use the Service to scrape, copy, or redistribute tender data at scale to third parties
- Reverse engineer, decompile, or attempt to extract source code from the platform
- Use automated tools (bots, scrapers) to access the Service beyond normal use
- Impersonate another person or organization
- Use the Service for any unlawful purpose or in violation of applicable Canadian law
- Attempt to bypass authentication, access controls, or rate limiting
- Submit false or misleading information in your company profile
6. Intellectual Property
The BidScanner platform, including its software, design, algorithms, scoring models, and brand elements, is owned by BidScanner Inc. and protected under Canadian and international intellectual property law. You may not reproduce or redistribute any part of the platform without our written consent.
Tender data sourced from public procurement portals remains the property of the respective government authorities. BidScanner does not claim ownership over government-published tender notices.
7. Data and Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection, use, and disclosure of your information as described in the Privacy Policy. We comply with the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial privacy legislation.
8. Pricing and Beta Access
During the beta period, the Service is provided at no charge. We reserve the right to introduce paid plans at any time with reasonable advance notice to existing users. If a free tier is made available after the beta period, its continued availability is not guaranteed.
9. Disclaimers
The Service is provided “as is” and “as available” without warranty of any kind, express or implied. BidScanner does not warrant that: (a) the Service will be uninterrupted or error-free; (b) tender data will be complete, accurate, or up to date; or (c) AI-generated match scores or summaries will be accurate or suitable for making bid decisions.
Match scores and AI summaries are provided for informational purposes only. You are solely responsible for evaluating whether to bid on any tender opportunity.
10. Limitation of Liability
To the maximum extent permitted by applicable law, BidScanner Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits or business opportunities, arising from your use of or reliance on the Service. Our aggregate liability shall not exceed the amounts paid by you to BidScanner Inc. in the three months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless BidScanner Inc., its officers, directors, employees, and contractors from any claims, losses, or damages arising from: (a) your violation of these Terms; (b) your use of the Service; or (c) your violation of any applicable law or third-party rights.
12. Modifications
We may update these Terms from time to time. We will provide notice of material changes by email or by displaying a prominent notice in the Service. Your continued use of the Service following notice of changes constitutes your acceptance of the updated Terms.
13. Governing Law
These Terms are governed by the laws of the Province of Alberta, Canada, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of Alberta.
